1. Acceptance of Terms

Welcome to EzPze AI. These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and EzPze AI Pte. Ltd. (UEN: 202532414H), a company registered in Singapore with its registered address at 55 Lavender Street, Singapore 338713 ("EzPze AI", "we", "us", or "our").

By accessing or using our services, you become our client and agree to be bound by these Terms. This includes using our services for free or on a trial basis. If you do not agree to these Terms, you must not access or use our services.

EzPze AI Pte. Ltd. is a subsidiary of Asalta Technologies Pte. Ltd., a company registered in Singapore since 2009.

2. Services Offered

EzPze AI provides artificial intelligence-powered employees ("AI Employees") designed to automate various business operations including, but not limited to:

  • Phone calling and outbound communication (Pepper)
  • Customer chat support (Cindy)
  • Reception and call routing (Rhea)
  • Social media management (Sofia)
  • Job scheduling and task assignment (Jobby)
  • WhatsApp communication (Wally)
  • Sales chat engagement (Sally)
  • Work monitoring and optimization (Molly)

2.1 Service Availability

Our services are offered globally to customers worldwide. We currently do not restrict service availability based on geographic location.

2.2 Free Tier and Trial Limitations

Currently, we do not offer a free trial period for pre-existing AI Employees (Telemarketing Phone Call AI, WhatsApp AI, Chat AI). A limited free tier with usage restrictions (one use per day) may be introduced later in 2026 for newly launched AI Employees once they become publicly available.

2.3 Service Level Agreement

We strive to maintain a service uptime of 99.5%. However, service availability may be affected by maintenance, updates, or circumstances beyond our reasonable control.

3. Eligibility and Account Registration

3.1 Age Requirements

Important: You must be at least 18 years of age to use EzPze AI services. Users below 18 years of age may use our services only with the consent of a parent or legal guardian. If you are under 18, you must notify us and provide necessary documentation proving parental or guardian consent.

3.2 Account Information

When registering for our services, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Maintain the security of your account credentials
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized access or security breach

3.3 Account Security

You are solely responsible for maintaining the confidentiality of your account login credentials and for all activities that occur under your account. You must immediately notify us at team@ezpze.ai if you suspect any unauthorized access to your account.

4. Subscription and Billing

4.1 Subscription Types

We offer both monthly and annual subscription plans. All pricing is displayed in United States Dollars (USD).

4.2 Payment Terms

  • Pre-built SaaS Services: Subscription-based billing. Payment is charged at the beginning of each billing cycle.
  • Custom Development & Consulting: Advance payment is required before work commences.
  • Payment Processor: We use Stripe as our payment processor.

4.3 Billing Cycles

Subscriptions are billed in advance on a monthly or annual basis, depending on the plan you select. Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date.

4.4 Cancellation Policy

You may cancel your subscription at any time. However:

  • The minimum commitment is one month of service
  • If you cancel mid-month, you will not be charged for the following month
  • You will retain access to the service for the remainder of your current paid billing period
  • No refunds will be provided for partial months or early cancellation

4.5 Refund Policy

No Refund Policy: All payments are non-refundable. We do not provide refunds for any subscription fees, consulting fees, or custom development work, regardless of the reason for cancellation or termination.

4.6 Usage Limits

Each subscription plan includes specific usage limits as detailed on our pricing page. These limits may change from time to time based on advancements in AI Employee capabilities. We will notify you of any significant changes to usage limits.

5. Acceptable Use Policy

5.1 Permitted Uses

You may use our AI Employees for:

  • Legitimate business communications and operations
  • Cold calling to potential customers (where legally permitted)
  • Customer support and engagement
  • Marketing and sales activities in compliance with applicable laws

5.2 Prohibited Uses

You are strictly prohibited from using our AI Employees for:

  • Illegal Activities: Any use that violates local, state, national, or international law
  • Unsolicited Outreach: Spamming, harassment, or contacting individuals who have requested no contact
  • Harmful Content: Disseminating malicious software, viruses, or harmful code
  • Fraud or Deception: Impersonation, phishing, or fraudulent schemes
  • Harassment: Threatening, abusive, or harassing communications
  • Adult Content: Distribution of pornographic or sexually explicit material
  • Hate Speech: Content promoting violence or hatred based on race, religion, gender, or other protected characteristics
  • Unethical Practices: Any use we deem morally or ethically inappropriate at our sole discretion

5.3 Compliance

You agree to comply with all applicable laws and regulations when using our services, including but not limited to:

  • Telephone Consumer Protection Act (TCPA) and similar regulations
  • CAN-SPAM Act and anti-spam laws
  • Data protection regulations (GDPR, PDPA, etc.)
  • Industry-specific regulations applicable to your business

6. Intellectual Property Rights

6.1 EzPze AI Ownership

EzPze AI retains all rights, title, and interest in and to:

  • The EzPze AI platform and all AI Employees
  • All software, algorithms, and technology
  • AI-generated content, responses, and outputs
  • All improvements, updates, and derivative works
  • The EzPze AI brand, trademarks, and logos

6.2 Customer Data Ownership

You retain ownership of all data you provide to EzPze AI ("Customer Data"). However:

  • Customer-Provided Data: You own all data, information, and content you upload or input into our system
  • AI-Generated Data: Data generated by AI Employees (including conversation transcripts, call recordings, and AI responses) is owned by EzPze AI
  • You may request deletion of AI-generated data at any time
  • Upon account termination, you may request removal of all data from our servers

6.3 License to Use EzPze Brand

Customers are permitted to use the EzPze AI brand name and logo for the limited purpose of indicating that they use our services. Any other use requires prior written consent from EzPze AI.

6.4 Feedback and Suggestions

Any feedback, suggestions, or ideas you provide to us become the property of EzPze AI, and we may use them without restriction or compensation to you.

7. Liability and Warranties

7.1 No Warranties

Our services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied, including but not limited to:

  • Implied warranties of merchantability
  • Fitness for a particular purpose
  • Non-infringement
  • Accuracy or completeness of AI responses

7.2 AI Errors and Customer Responsibility

Critical Notice: AI Employees may make errors, provide inaccurate information, or behave unexpectedly. You acknowledge and agree that:
  • You use AI Employees at your own discretion and risk
  • You are fully responsible for monitoring and supervising AI Employee interactions
  • EzPze AI assumes NO responsibility or liability for errors, inaccuracies, or damages caused by AI Employees
  • You must review and approve critical communications before they are sent
  • You accept these terms as a condition of using our services

7.3 Limitation of Liability

To the maximum extent permitted by law, EzPze AI's total liability to you is limited as follows:

  • General Liability Cap: 50% of fees paid by you during the 12 months preceding the event giving rise to the claim
  • Data Breach Liability Cap: 70% of fees paid by you during the 12 months preceding the breach

7.4 Excluded Damages

Under no circumstances shall EzPze AI be liable for:

  • Indirect, incidental, special, or consequential damages
  • Lost revenues, profits, savings, or goodwill
  • Business interruption or loss of data
  • Damages resulting from your use or inability to use our services
  • Damages arising from reliance on AI-generated content

7.5 Indemnification

You agree to indemnify, defend, and hold harmless EzPze AI, Asalta Technologies Pte. Ltd., and their officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • Your use of our services
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Your violation of applicable laws or regulations

8. Account Termination

8.1 Termination by You

You may terminate your account at any time by canceling your subscription through your account settings or by contacting us at team@ezpze.ai.

8.2 Termination by EzPze AI

We reserve the right to suspend or terminate your account immediately, at our sole discretion, if:

  • You violate these Terms
  • You use our services illegally, unethically, or immorally
  • You engage in prohibited activities as outlined in Section 5
  • Your account remains inactive for an extended period
  • We determine, at our discretion, that continued service provision is not appropriate

8.3 Notice of Termination

If we terminate your account, we will provide notice via email to the email address associated with your account. We are not obligated to provide advance notice if immediate termination is necessary due to legal, safety, or security concerns.

8.4 Data Retention Upon Termination

Upon termination of your account:

  • If you request data deletion: All your data will be removed from our servers within 30 days
  • If no deletion request is received: We may retain your data to:
    • Train and improve AI Employees
    • Allow you to reactivate your account in the future
    • Comply with legal obligations

8.5 Effect of Termination

Upon termination:

  • Your right to use the services immediately ceases
  • No refunds will be provided for unused subscription time
  • Sections 6, 7, 9, and other provisions that by their nature should survive will continue to apply

9. Dispute Resolution and Governing Law

9.1 Governing Law

These Terms and any disputes arising out of or related to these Terms or our services shall be governed by and construed in accordance with the laws of the Republic of Singapore, without regard to its conflict of law provisions.

9.2 Jurisdiction and Venue

Any legal action or proceeding arising out of or related to these Terms or the services shall be brought exclusively in the courts of Singapore. You irrevocably consent to the jurisdiction of such courts and waive any objection to venue in such courts.

9.3 Legal Costs

Important: In the event of any legal dispute, arbitration, or court proceedings, you agree to pay all legal expenses, court charges, and associated costs incurred by EzPze AI, regardless of the outcome of the dispute.

9.4 Dispute Resolution Process

Before initiating any legal action, both parties agree to:

  1. Attempt to resolve the dispute through good faith negotiation
  2. Provide written notice of the dispute to the other party
  3. Allow 30 days for informal resolution before proceeding to formal proceedings

10. Changes to Terms

We reserve the right to modify these Terms at any time. When we make changes, we will:

  • Update the "Last Updated" date at the top of this page
  • Notify you via email to the address associated with your account
  • Post a notice on our website

Your continued use of our services after such modifications constitutes your acceptance of the updated Terms. If you do not agree to the modified Terms, you must stop using our services and cancel your account.

Material changes that significantly affect your rights will be accompanied by prominent notice and, where required by law, an opportunity to review and accept or decline the changes before they take effect.
